1. Who we are

These Terms govern your use of the Convene service (the "Service"), provided by Convene ("Convene", "we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Convene provides AI-augmented meeting and role-play simulations, including token-based access to AI models. Features and limits may change over time.

You agree not to misuse the Service, including by:

You are responsible for the prompts you submit, your use of any outputs, verifying their accuracy, and ensuring you have the rights to any content you input. We may remove content, restrict access, or suspend accounts that violate these rules.

4. Accounts

You must provide accurate information and keep it up to date. You are responsible for activity under your account and for keeping your credentials confidential.

5. Intellectual property

Convene and its licensors retain all rights to the Service, including software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service as provided. You may not reverse engineer, resell, or redistribute the Service. You retain rights to content you submit, and grant us a limited license to host and process it solely to provide the Service.

6. AI outputs

AI-generated content may be inaccurate, biased, or incomplete. We do not guarantee that outputs are fit for any particular purpose. If you believe content infringes your rights, contact us so we can review and, where appropriate, remove it. Repeat infringement may result in account termination.

7. Payments, taxes, and merchant of record

Convene is the merchant of record for all purchases made through the Service. Stripe acts solely as our payment processor and is not a party to your contract with us. By making a purchase, you authorize Convene (and Stripe on our behalf) to charge your selected payment method for the amount due, including any applicable taxes. Prices are listed in USD unless otherwise indicated, and any applicable sales tax, VAT, or GST is added at checkout based on your billing location. You are responsible for keeping your payment information accurate and up to date. See our Refund Policy for details on how to request a refund.

8. Service availability

We do not guarantee that the Service will be uninterrupted or error-free. To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends; we may delete your data after a reasonable export window.

10. Liability

To the maximum extent permitted by law, our aggregate liability under these Terms is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where it cannot be excluded by law.

11. Changes

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
